LLC Annual Report Fees and Deadlines by State (2026)

Clay illustration of a business owner marking annual report deadlines on a wall calendar

Forming an LLC is a one-time cost. Keeping it is not: most states charge a report fee every year or two, and a few add a yearly tax. This page shows what all 50 states and Washington, DC charge to keep an LLC in good standing and when each report is due, with every fee checked on the state’s official website.

Last updated: October 15, 2026. Fees and due dates change, so confirm with your state before you file.

Key Takeaways

  • 10 states have no required yearly state fee for a typical LLC: Alabama, Arizona, Idaho, Minnesota, Mississippi, Missouri, New Mexico, Ohio, South Carolina and Texas.
  • The highest minimum yearly cost is California, at $810 a year.
  • 5 states don’t require an annual report at all; 8 states ask for one only every two years.
  • 9 states publish a late fee, and missing a report can cost your LLC its good standing.

The minimum each state charges per year to keep an LLC active: the report fee (divided by two where the report is every two years) plus any yearly tax every LLC pays. It doesn’t include taxes based on your income or revenue, or a registered agent service.

States With No Annual Report

  • Arizona: LLCs are not required to file annual reports. Source
  • Missouri: Missouri’s official fee schedule for LLCs lists no annual report filing. Source
  • New Mexico: New Mexico corporations file a report every two years, but this requirement does not apply to limited liability companies. Source
  • Ohio: Ohio businesses are not required to file annual reports. Source
  • South Carolina: South Carolina LLCs don’t file an annual report with the Secretary of State. The Department of Revenue’s annual report and license fee don’t apply to an LLC that isn’t taxed as a corporation; an LLC that elects corporate tax treatment files one with its tax return. Source

No annual report doesn’t mean nothing to file: your LLC still owes any state tax returns that apply to it.

What an Annual Report Is (and Why It Matters)

An annual report (some states call it an annual registration, statement, list or renewal) is a short filing that confirms your LLC’s basic information, such as its address, registered agent and managers. It usually isn’t about your income; that’s your tax return.

Filing on time keeps your LLC in good standing with the state. Missing it can bring a late fee, and in many states, if you keep missing it, the state can end your LLC’s active status. Your state’s filing office explains its own rules and how to get back into good standing.
